Licensing Agreement

BLANKET LICENCE AGREEMENT FOR MUSIC ARTISTS/DESIGNERS

 

Overview

This Blanket Licence Agreement ("Agreement") is made and entered into by and between MOD INC. ("MOD"), a corporation organized under the laws of Ontario, with its principal place of business at 2 Simcoe St S #300, Oshawa, ON L1H 8C1, and the Music Artist/Designer ("Artist/Designer") agreeing to the terms of this Agreement.

Grant of License

Artist/Designer hereby grants a non-exclusive, transferable, sub-licensable, worldwide licence to all other users on the MOD platform to use and reproduce any fan art designs created by the Artist/Designer that have been uploaded to the platform and approved for licensing by the Artist/Designer.

Licensing and Royalties

MOD shall act as a middleman to facilitate the licensing of fan art designs from Artist/Designer to other users on the MOD platform. Artist/Designer shall receive a royalty payment for every product sold with their licensed fan art design. The royalty amount shall be determined by the Artist/Designer and agreed upon by MOD. MOD shall distribute royalties to the Artist/Designer on a regular basis, as agreed upon by the parties.

Representations and Warranties

Artist/Designer represents and warrants that: (a) they have the right to grant the licence in this Agreement, (b) the fan art designs uploaded by the Artist/Designer do not infringe upon any third-party rights, including, without limitation, any intellectual property rights, and (c) the fan art designs uploaded by the Artist/Designer do not violate any applicable laws or regulations.

Term and Termination

This Agreement shall be effective as of the date the Artist/Designer agrees to its terms and shall continue until terminated by either party. Either party may terminate this Agreement at any time, with or without cause, upon written notice to the other party. Termination of this Agreement shall not affect any licences granted prior to the date of termination.

Miscellaneous

This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings, and agreements between the parties, whether oral or written. This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware. Any dispute arising under or related to this Agreement shall be resolved in accordance with the dispute resolution procedures set forth in the Terms of Service agreement of MOD.

Artist/Designer acknowledges that they have read this Agreement, understand it, and agree to be bound by its terms and conditions.
